5 Digital Energy’s Referral Program Terms and Conditions
Effective: 4.1.24
Thanks for being willing to refer prospective clients (“Client”) through 5 Digital Energy’s Referral Program (the “Program”). For the purposes of this initiative, we refer to people like you as Referral Program Members (“Referral Member”) and 5 (the “Company”).
- Referral Member will be paid a flat fee (“Referral Member Payments”) of $200 for each referral that results in a fully executed energy contract for a Client that is referred to Company through Referral Member using the unique phone number or referral link (“Phone or Referral Link”) provided by the Company, or its vendor, to the Referral Member. The Referral Member will be paid on the renewal of a Client contract, or a contract extension, if (i) the Program is still active; (ii) Referral Member is still an active participant of the Program at the time of renewal; (iii) the Client is referred by the Referral Member for their renewal or extension using the then current processes and procedures; and (iv) the then current terms and conditions, including fees, are applied. Company reserves the right to adjust the Referral Member Payment amount and/or Client sign-up process at its sole discretion.
- Referral Member Payments will not be paid for Clients that are currently under contract with an energy supplier that was facilitated by the Company. Referral Member Payments will also not be paid for Clients that do not use the unique Phone or Referral Link that allows the Company to identify that a Client was referred by a specific Referral Member.
- Referral Member Payments will ordinarily be paid to the Referral Member within 15 days from the end of the month in which the Client signed a contract with an energy supplier.
- Referrals are valid for 4 months. If a Client has not signed a contract with or through the Company within this 4-month period, no referral fee will be due.
- Any Referral Member Payments paid that are subject to refund, or similar type of provision (generally arising out of a failure of Client to honor the terms of its contract with the energy supplier), will also be subject to refund by the Referral Member. All refunds due to the Company as per this provision must be paid within fifteen (15) days and may be offset by the Company, at our sole discretion, from other fees or commissions due to the Referral Member.
- Referral Member will adhere to all laws and regulations related to the performance of their services contemplated by these terms and conditions, including but not limited to utility commission rules and consumer protection guidelines, and will (i) adhere to the contractual obligations imposed on the Company by its vendors, and (ii) not engage in any malfeasance.
- Referral Member represents that he or she (i) has no agreement or other legal obligation with any company or any other person or entity that restricts Referral Member’s ability to perform the services hereunder and (ii) has disclosed any prior felony conviction.
- Company may terminate the Referral Member’s participation in the Program for any reason at any time. Any Referral Member Payments earned prior to termination will be due to the Referral Member as per above.
- These terms and conditions apply only to 5 Digital Energy’s Referral Program and do not supersede or replace any other terms of employment or agreements that are in place between the Company and the Referral Member for other Company activities.
